• General corporate and commercial advice to a range of commercial organisations including partnerships, LLPs, private limited companies and public limited companies.
• Advising on private equity transactions and fundraising.
•Advising on mergers and acquisitions including management buyouts.
• Preparation, review and negotiation of commercial contracts including agency and distribution agreements, terms and conditions of sale and purchase, e-commerce matters, and data protection.
• Advising on and drafting shareholders’ agreements including joint venture and collaboration agreements.
• Advising on information technology and intellectual property including computer software and hardware contracts.
• Corporate governance, constitution and general corporate administration advice.

Significant Transactions
• Negotiating and completing the sale of “Tribune” magazine, the independent left-wing journal founded by Nye Bevan in 1937.
• Advising the shareholders of The Lunan Group Limited, owner of the ‘Fiorelli’ and ‘Modalu’ handbag brands, on a sale to Synova Capital and other investors. The transaction was reported as an exclusive in the Sunday Times.
• Acting for the shareholders on the sale of Cycle Surgery Limited to Snow & Rock Sports Limited.
• Acting for the shareholder on the sale of magazine publishing company to a national publishing group.
• Advising a national logistics company on its acquisition of the shares in a company specialising in the provision of security guarding services for commercial premises.
• Member of team advising UK subsidiary of US multinational corporation on the repayment of loan stock, payment of associated dividends and obtaining clearance from the Pensions Regulator with a total transaction value of £44 million.
• Acting for the shareholders on the sale of an owner-managed business to a Dutch-based multinational company for an undisclosed sum.
