Lawrie Simanowitz, partner in the charity and social enterprise team at Bates Wells & Braithwaite London LLP, has taken dozens of charities through the merger process, from a simple takeover of a small grant making organisation to complex simultaneous multiple restructurings of national organisations. He will look at the different legal structures available and take you through a checklist of legal issues including the compatibility of objects and basics of due diligence.
Ben Cairns runs IVAR a leading voluntary sector research institute and has been advising on mergers for over 10 years. He has written with BWB a guide to the process of merger (free to all attendees of the masterclass). Ben will discuss some of the reasons that prompt people to think about merger, the warning indicators to look out for, and the groundwork required to give mergers a chance of succeeding.
Ashley McCaul, CEO of Skills for Growth/Landmark, led Stratford based ‘Landmark Training’ and Bexleyheath based ‘Skills for Growth’, both long established charities with impressive success records, through a merger in November 2011. Both education and training charities shared similar objectives and had a similar social inclusion ethos. Having steered the charities through the merger, Ashley brings clarity and reflects on the ups and downs of the integration and harmonisation process.
